Our solution for the XM30 program, along with our other next-generation tracked and wheeled vehicle systems, empowers and protects the members of our U.S. Armed Forces and ensure their safe return home.

Job Summary:

Serves as a member of ARV’s executive leadership, leading ARV’s Legal, Compliance, Contracts, and Human Resources Departments. Serves as the principal legal advisor to the organization’s executive team. This role involves managing all legal matters, including government compliance, contracting, intellectual property, labor relations, and risk management, while maintaining strict adherence to defense industry standards.

POSITION REQUIREMENTS

Essential Functions:

Legal Strategy & Compliance

  • Lead compliance efforts with defense contracting protocols, adherence to national security measures, national and international defense laws, including ITAR (International Traffic in Arms Regulations) and export control laws.
  • Providing comprehensive legal and strategic guidance to ensure the organization’s operations align with federal regulations, defense industry standards, and international laws.
  • Provide counsel on U.S. Department of Defense (DoD) regulations, Federal Acquisition Regulations (FAR), and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Develop and implement policies to ensure strict adherence to all legal and regulatory requirements.

Contracts & Government Agreements

  • Review, negotiate, and oversee contracts with government and military clients, ensuring compliance with federal contracting standards.
  • Advise on complex procurement contracts, including Fixed-Price, Cost-Plus, and Time & Materials contracts.
  • Act as the main point of contact for contract disputes, bid protests, and other government contract issues.

Risk Management

  • Assess and mitigate legal, regulatory, and security risks, with a focus on national security considerations.

Intellectual Property & Technology

  • Develop strategies to protect and manage the organization’s intellectual property (IP), including patents, trade secrets, and proprietary technologies.
  • Support the organization’s R&D initiatives to secure IP rights and handle licensing agreements.
  • Ensure compliance with technology transfer and export control regulations, particularly when engaging with foreign governments or defense entities.

Human Resources

  • Drive forward the people strategy of the company ensuring the balance between employee experience, risks, and compliance management as well the current and future business needs. During a period of company growth, you will drive the transformation of the HR function and support the business through its evolution.
  • Responsible for the design, improvement, and implementation of our HR, workforce, and safety strategy for the US including (but not limited to): reward & benefits, diversity & inclusion, people development, recruitment and attraction, and internationality mobility.
  • Advise on employment law matters, especially as they relate to the defense industry, including security clearance issues and employment eligibility.
  • Oversee labor relations, employee benefits, and workplace compliance with all applicable employment laws.

Regulatory & Government Relations

  • Serve as a liaison with government stakeholders to manage regulatory compliance and advocacy.
  • Monitor and advise on emerging laws and regulations that impact the defense sector.

Corporate Governance & Ethics

  • Oversee corporate governance matters and ensure ethical standards are upheld
  • Ensure board-level decisions comply with legal requirements and align with the organization’s risk tolerance and strategic goals.
  • Lead or support internal investigations and audits related to compliance, ethics, and legal matters.

Supervisory Responsibility:

HR Team, Compliance, Import and Export, Security and Contracts Departments

Minimum Qualifications:

Knowledge, Skills and Abilities (as demonstrated through experience, training and/or testing)

  • Strong understanding of FAR, DFARS, ITAR, and export control laws.
  • Experience with government contracting, procurement, and classified operations.
  • Familiarity with cybersecurity laws and IP management within the defense industry.
  • Experience with federal, state, and local, labor and employment laws.
  • Experience leading a team or department.

Education:

Juris Doctor (JD) degree from an accredited law school; active bar admission in a U.S. jurisdiction.

Experience:

Minimum of 15+ years of legal experience, preferably in a senior legal role within the defense, aerospace, or government contracting sectors.

Background Prerequisites:

  • Must undergo and meet company standards for background check, employment verification, reference checks and controlled substance testing.

Preferred Qualifications:

  • Litigation experience is beneficial
  • International labor union interface and USW contract negotiations, a plus.
