Join a leading company in the Maritime Industry in a critical role on our Legal team! Moran Towing Corporation ( www.morantug.com ) has an exciting opportunity available as a Corporate Paralegal in our New Canaan, CT office . This full-time, non-exempt position reports to the Vice President, Enterprise Risk and Compliance.

Position Summary

The Corporate Paralegal is a valued member of a collaborative legal team who will provide support in the areas of corporate governance, entity management, corporate reporting, regulatory compliance and other areas of corporate law. The role will involve working independently and with key partners, both internal and external. The ideal candidate brings an intellectual curiosity to their work, has sound judgment, is a team player, is attentive to time requirements and will value working in a congenial, collaborative work environment.

Responsibilities include, but are not limited, to the following:


  • Corporate Governance Management : Maintain corporate governance files, including general corporate subsidiary management (appointments and resignations of directors and officers, annual statutory filings, filing of certificates of incorporation/formation, preparation of bylaws and organizational consents). Ensure timely filing and compliance with legal and regulatory requirements and maintenance of Company's intellectual property portfolio.

  • Corporate Records : Maintain company and subsidiary director and officer charts, minute books and corporate records and develop repository of local jurisdictional requirements.

  • Database and Policy Management : Manage and assist in the refinement of the Company's contract lifecycle management and contract repository, including contract support and managing contract workflows. Assist in the review and revision of corporate policies to ensure effective and compliant implementation.

  • General Legal Support: Assist in corporate transactional matters, including managing due diligence materials, preparing transactional closing documentation, reviewing schedules to agreements and general project management. Assist with, obtain, and distribute notarizations, legalized documents, certified copies, corporate filings, and other corporate documents as needed. May occasionally assist in identifying and compiling documents for use in ongoing litigation matters and subpoenas.

  • Invoicing : Support with processing invoices, new vendor onboarding, and billing resolutions.

Required Qualifications


  • Bachelor's degree in business or a related field.

  • At least 5 years of legal corporate or compliance experience (some in-house experience a plus).

  • Exemplary professional integrity and legal ethics with the ability to maintain confidentiality and handle confidential information and circumstances with sensitivity and discretion.

  • Ability to research, read and understand basic rules and regulations.

  • Ability to recognize issues that should be escalated for further review.

  • Ability to multi-task and manage multiple short- and long-term projects.

  • Strong MS Office skills.


  • This position is primarily an office-based role and will require attendance in the office five days per week for the first month and thereafter will require compliance with the Company's in-office policy, which is currently three days per week.

  • Demonstrated ability to take initiative, independently manage tasks, prioritize conflicting demands, and meet deadlines effectively.

  • Organized, detail-oriented, aptitude for applying critical thinking to execution, eager problem-solver.

Preferred Qualifications


  • A professional paralegal certification.

  • Experience within marine or related industries.

Physical demands of this position include being able to:


  • Sit or stand for extended periods of time.

  • Frequently reaching with hands and arms.

  • Occasionally crouching or stooping.

  • Occasionally lift and/or carry up to 20 lbs.

  • Hear and speak, including the ability to present to an audience.

  • Have close and color vision, allowing reading of printed material, graphics, and computer displays.

Working Conditions


  • Work is performed mainly in an office setting from Monday through Friday but there may also be infrequent periods of non-traditional hours, including evenings and weekends.

  • Ability and willingness to travel occasionally (less than 20%)

Pay Transparency

Moran Towing Corporation offers generous benefits, opportunities for professional growth, and competitive salaries based on geographic location. Our target pay range for the Corporate Paralegal position is $75,000 -$95,000 per year. This pay range represents Moran's commitment to pay transparency and is a reasonable estimate of possible compensation for this role at the time of posting. The final salary for this role will be determined based on careful consideration of a variety of factors, such as the candidate's exact location, experience, and expertise related to the qualifications.
