JOB SUMMARY:

Responsible for the administration of the contract management process, including the facilitation, development, review, negotiation, and coordination of University contracts (excluding employment, research and others as agreed), and oversight of a contract database. Provides support as needed to members of General Counsel and Procurement and Business Services.

JOB DUTIES:

70% - Essential - Contract Management: Responsible for management and review of the University contracts (other than employment and research agreements), including but not limited to agreements for the purchase or license of goods and services, donor funding agreements, complex medical and financial agreements, internships, and agreements regarding the use of University facilities. These activities include but are not limited to facilitation, development, review, negotiation, and tracking activities, with an emphasis on ensuring through a review and analysis of contract terms and conditions that the University is adequately protected from risk of loss. Works with General Counsel to identify and resolve any legal issues.

10% - Essential - Contract Risk Analysis: Identify and analyze contract-related risks and deviations from University policies and State and Federal requirements. Assists General Counsel as needed with research relevant to contract negotiation issues /business terms in accordance with preliminary instructions as to methods or approach, source materials available and policy and precedent of the University; maybe asked to summarize issues/terms of concern for attorneys. Conduct research on industry benchmark data related to procurement contracting terms and conditions.

10% - Essential - Procurement Contract Support: Assists buyers with review of solicitations and contracts for proper compliance. Interacts with campus, suppliers and the Office of General Counsel to develop, expand and implement procurement/contracting tools, policies and processes. Assists with monitoring procurement transactions for their adherence to Procurement policies and procedures. Coordinates the development of policies and procedures with respect to contract compliance for contract development, T&Cs, authorizations and approvals, and dollar thresholds.

10% - Essential - Compliance Training and Support: Assists with providing training and education to campus users regarding compliance-related policies and procedures. Works with leadership to investigate, formulate and execute plans to continuously improve the contract process. Provide service that meets or exceeds client expectations, maintains awareness of changing customer needs and makes necessary adjustments while striving to provide comprehensive service.

MINIMUM REQUIREMENTS:

Education - 1st Bachelor's Degree - ability to read and comprehend contracts quickly
Work Exp 5+ years as a paralegal or in contract management

PREFERRED REQUIREMENTS:

Prior experience with software/SAAS, cloud services, purchase agreements, subscription agreements, professional services agreements, clinic-related agreements, BAAs and data protection agreements.
