Job Description:

Adams & Martin group is seeking a highly motivated Associate Attorney in St. Louis, MO. The ideal candidate will have 2-6 years of experience in public finance, municipal law, or transactional law. However, we welcome candidates with a strong interest in finance and a demonstrated ability to manage complex legal matters.



Title: Associate Attorney



Location: St. Louis, MO



Schedule: Monday - Friday HYBRID



Compensation: $150,000 - $200,000 (flexible upon experience)




Job Description:



  • Serve as bond counsel for states, counties, cities, housing authorities, 501(c)(3) organizations, and other governmental and quasi-governmental entities in connection with tax-exempt and taxable bond and lease financings.

  • Advise clients in structuring and implementing innovative public-private partnerships and other project financings that support infrastructure, housing, and economic development.

  • Counsel clients on the negotiation and implementation of economic development tools, including tax abatements, tax increment financing (TIF), special taxing districts, and related incentive structures.

  • Act as underwriter's counsel and bank counsel in a wide variety of public finance transactions, including general obligation bonds, revenue bonds, lease-purchase transactions, and conduit financings.

  • Advise clients on federal tax and securities law issues related to municipal finance, including continuing disclosure and post-issuance compliance.

  • Draft and negotiate a broad range of legal documents including trust indentures, loan agreements, bond purchase agreements, leases, and closing certificates. Manage closings and provide strategic legal counsel throughout the lifecycle of a transaction.

  • Work closely with attorneys across the firm in related practice areas including real estate, tax, litigation, and government relations to provide full-service counsel to our clients.






Qualifications



  • J.D. from an accredited law school

  • Admission to the bar in [Insert State] or willingness to obtain admission promptly

  • 2-6 years of relevant legal experience preferred

  • Demonstrated interest in public service, economic development, and/or community impact

  • Strong drafting, analytical, and communication skills

  • Ability to manage multiple projects in a fast-paced environment
