Position Summary
The Tax Manager will be embedded within AlpInvest Partners and will be principally focused on US tax compliance of various AlpInvest Partners fund and transaction structures. The Tax Manager will also work closely with the broader Carlyle firm tax team to enable them to manage the firm's quarterly and annual corporate tax filings that relates to positions in, and income derived from AlpInvest related structures. The Tax Manager will also support transaction structuring and execution.
The Tax Manager will be based in our New York office and report to the Vice President of Tax. The position will work closely with fund accounting, corporate accounting, broader Carlyle tax team, portfolio and risk analysis, legal and compliance, investor relations, and external service providers.
Responsibilities
Compliance (50-60% of time)
Amongst others the US tax compliance associated with Alpinvest' fund structures (including Blocker vehicles), including:
Control and manage the incoming K-1 information related to our investments.
K-1 and associated reporting such as 1042-S, 8804 / 8805, 1099s to our investors, FATCA and CRS reporting. FBAR fillings. This all in close cooperation with our service providers.
Entity Lifecycle Management (ELM) maintenance.
Management of federal and state tax notices.
Oversee and coordinate SS4 / 8832 filings.
Obtain GIINs.
Oversee and coordinate preparation of W8/W9 tax forms and associated withholding statements.
Manage and/or provide the data needed for the Carlyle tax reporting and compliance.
Support tax compliance needs of our Regulated Investment products.
Tax Structuring, Transaction and Investment Execution Matters: Structuring (10-20% of time)
For Funds/Mandates: The AlpInvest client base is continuously growing, and AlpInvest strives to accommodate its clients in structuring Funds/Mandates to meet the clients' needs. We manage an increasingly growing number of entities all for longer periods of time. The Tax Manager will assist in ensuring ELM is updated for all new fund structures and. and the Tax Manager will also help providing necessary information (e.g., tax forms, CRS self-certs, structure charts etc.) to internal constituents (for opening bank accounts, for example).
For Transactions: The AlpInvest Investment teams operate separately and independently within their business lines. Support on the tax side is part of the investment process and is often provided in close cooperation with external service providers. Tax Manager will assist in providing proper tax documentation such as W-forms with withholding statements and/or other forms that support KYC confirmation and/or treaty claims to counterparties involved in a transaction.
Assist in documenting investment/fund/mandate specific tax technical and tax compliance issues and tax reporting positions
Tax Risk and Other (5-10% of time)
Assist and coordinate with internal tax team and advisors on various matters to manage tax risks, including DAC 6 analysis, ATAD II, transfer pricing and tax audits/inquiries as well as general documentation for policies and critical matters.
Firm (20-30% of time)
The Corporate Compliance Tax Team within the Carlyle Firm Tax Department is responsible for global tax matters related to Carlyle firm entities, the quarterly estimate and annual tax compliance process as well as planning for and documenting the tax considerations of various Carlyle firm transactions. The AlpInvest Tax Manager will work closely with the TCG Inc.'s tax team to enable them to manage the firm's quarterly and annual corporate tax filings that relates to positions in, and income derived from AlpInvest related structures.

Education & Certificates
Accounting or tax degree required.
Professional Experience
This position requires 5-7 years of tax experience. Specific experience providing tax compliance and tax reporting functions for or advising a private equity Fund of Funds is preferred

Benefits/Compensation
The compensation range for this role is specific to New York and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.
The anticipated base salary range for this role is $125,000 to $155,000.
