Job Description:

Beacon Hill Legal's client, a global online company, is seeking an experienced Securities Counsel for a long-term contract role. This role is looking to start during the month of April and will be fully remote. Candidates should have experience preparing and reviewing SEC filings (10-Ks, 10-Qs, 8_ks, proxy statements, Section 16 filings, etc.) and also be able to advise on compliance with SEC and NASDAQ rules and regulations.


Responsibilities

• Provide expert counsel on public company rules, securities offerings, and corporate governance


• Draft and review SEC filings and proxy statements


• Draft and review periodic reports and other public company disclosure documentation (10-Ks, 10-Qs, Section 16, etc)


• Support client companies on compliance with federal securities laws and regulations


• Assist with reporting and corporate governance matters


• Work on complex and varied securities issues, collaborating with both internal teams and clients
