The In-House Business Contracts Attorney leads the contract negotiation processes and builds strong collaborative relationships internally and externally to drive optimal, often time-sensitive results. This individual demonstrates strong business acumen in negotiations and applied legal expertise, with emphasis on technology, purchase, and sale transactions.
Draft, review, and negotiate business contracts to support business objectives and policies of the Firm; lead and collaborate throughout the contracting processes by identifying and analyzing significant business, financial, and legal risks; develop, and communicate creative solutions and mitigation strategies for key negotiation points.
Apply advanced knowledge of effective contracting principles and strategy, Firm policies, and internal processes to drive successful outcomes for the Firm's business contracts..
Protect the Firm's business interests by including appropriate provisions in contracts for resolving disputes between parties; clearly document areas of potential conflict, such as payment terms, assignment rights, etc. to ensure potential disputes are minimized; and identifying and addressing areas of concern regarding data usage and privacy.
Appropriately prioritize multiple contractual reviews so that resources are directed appropriately and client needs are met in a timely manner.
Collaborate with department representatives and Firm's leaders to understand upcoming contract needs for new deals and renewals; prioritize deal support in planning process; implement legal strategy to focus on high value activities.
Ensure that all contracts, Firm procurement initiatives, and sourcing strategies are aligned with the overall priorities of the Firm's legal function, paying special attention to privacy/data security and Risk Management practices as they develop. Track Firm policy decisions; ensure that policies and contract preferences are incorporated into contracts. Spot potential risks in business transactions and raise appropriately.
Demonstrate understanding of independent auditor and insurer policies and practices, and their role in compliance assurance and determination of risk.
Actively contribute to and lead team projects aimed to improve the contracting process.
ABOUT YOU
JD required.
Five or more years of contracts, negotiation, or equivalent experience in a large law firm or corporation. Specific experience in drafting technology, purchase, sale, software license, content license, outsourcing, professional service, real estate leases, general contractor, and architectural agreements.
Comfort with data privacy and security issues is desired but not required.
Must be admitted to the Bar, and in good standing, in the state in which you will work.
Strong proficiency with Microsoft Office programs, including Word and Outlook; Excel and PowerPoint skills preferred.
Advanced knowledge of key principles, processes, and industry practices applicable to business contracts and leases.
Ability to analyze needs and to determine priorities based on business objectives.
Excellent written and verbal communication skills; ability to exchange information and to present ideas, report facts and other information clearly and concisely.
Strong sense of accountability, taking ownership over projects and responsibilities and resolving issues proactively.
Advanced analytical and information gathering skills; ability to evaluate and prioritize extensive, detailed data.
Ability to prepare accurate, highly detailed work product.

Additional compensation may include a discretionary bonus, overtime as applicable, health/welfare benefits, retirement contributions, paid holidays, and PTO. The range displayed is specifically for positions performed in those cities/states and may vary based on factors including but not limited to the following: local market data and ranges; an applicant's skills and prior relevant experience; and certain degrees, licensing, and certifications. Los Angeles, Washington, D.C. salary range: $187k to $225k
Denver salary range: $175k to $210k
