JOB RESPONSIBILITIES




  • Transactions - Leads legal support for all domestic and international contract review and negotiations, including complex agreements for Cincinnati Children's and its affiliates and subsidiaries. This includes establishing form agreements, standard legal terms, review processes, negotiation standards (including delegating review and negotiations as appropriate), compliance standards for transactions and operational standards for all transactions. Directs content development and delivery of education for legal staff and internal clients on legal and compliance issues related to contracts. Trusted partner to business/clinical/research senior leadership with respect to strategies related to transactions and business terms. Proactively identifies key performance indicators for transactions and regularly reports performance to senior leaders and implements improvements to improved quality, reduce legal risk, optimize business terms and achieve ideal/realistic turn-around times. Directs contract lifecycle management for clinical, business operations, research, innovative relationships. Identifies business and legal risks while providing solutions to balance legal issues and business objectives. Integrates a keen understanding of the business and operational goals while developing and maintaining positive relationships with clients at all levels of the organization. Collaborates with internal clients to provide advice on legal matters and drive transactions and contracts to completion. Partners with legal staff, internal divisions/departments with delegated contract review responsibilities and external attorneys and business partners on contractual arrangements and legal and regulatory compliance issues. Provides counsel on related policies and procedures and other operational and compliance issues. In collaboration with the SVP, Chief Legal Officer, Chief Compliance Officer, AGC-Research and other members of the Legal Division, provides legal advice on compliance with Antitrust laws, Stark Law, Anti-Kickback Statute, and other federal and state fraud and abuse laws, HIPAA and other data privacy and security laws, research laws and regulations, as well as other laws impacting Cincinnati Children's intellectual property. Works closely with Vice President & Chief Compliance Officer and Vice President, General Counsel & SRO to resolve compliance issues and manage risk associated with transactions.



  • General Counsel for HealthVine and CHSN - Directs legal support structure for independent entities. Performs legal services including corporate actions, transaction reviews, creation and implementation of form agreements. Establishes policies to support compliance with applicable laws, rules and regulations. Generates training on applicable legal issues. Establishes standards for complex transactions. Supports senior leaders with strategies and operational issues.



  • Dispute resolution - Navigates contract disputes and resolutions where legal involvement is required. Strategizes with senior leaders on resolution(s) and coordinates outside counsel engagement where required.



  • Leadership - Leads, manages and guides in-house lawyers and other legal support staff with an aim towards maximizing performance and capabilities, resulting in the continued growth and development of each team member to maximize their individual and the organization's performance. Identifies unmet needs and future legal issues and proactively proposes strategies to optimize outcomes and results. In collaboration with other members of the Legal Division and business unit leaders, oversees education and training for staff about legal and other operational issues.



  • Outside Legal Engagement - Directs outside legal counsel and expert advisors as needed to ensure subject matter expertise needed for complex issues is effectively delivered. Actively manages utilization of external legal while optimizing outside spend and maintaining a reasonable budget.





JOB QUALIFICATIONS



  • Juris Doctorate


  • 10+ years of experience as a healthcare attorney, including 7 years of contract drafting and negotiating experience.


  • 5+ years in-house legal experience.


  • Currently admitted to a state bar and in good standing in all bar associations in state(s) in which admitted to practice.


  • Experience supporting an academic medical center preferred.


  • Experience managing other lawyers
