We are seeking a corporate paralegal who will support our lawyers in financial services mergers and acquisitions and financing areas and provide the highest quality of legal assistance to our clients. As a paralegal, you will assume responsibility with minimal supervision, and exercise initiative and judgment to make decisions within the scope of your assigned authority. You will have the ability to work individually and as part of a team and practice collaboration with firm employees across all offices.

Your Role:

As a Paralegal within our Business and Transactions Department your responsibilities include but are not limited to:


  • Preparing closing documentation, including drafting, organizing, proofreading and assembling documents.


  • Preparing mergers and acquisitions documents, general corporate documents, including corporate approvals, and financing documents.


  • Preparing applications to state and federal regulators.


  • Conducting, organizing, reviewing and summarizing due diligence documents, including preparation of due diligence checklists, coordinating and tracking receipt of due diligence documents and preparation of disclosure schedules and related documents.


  • Preparing closing checklist and tracking closing related items.


  • Researching industry databases and applicable law.


  • Traveling to client sites as needed.


What We're Looking For:


  • Energetic, detail-oriented individuals who are able to manage multiple priorities and understand the cycle of a transaction.


  • Proactive self-starters with demonstrated experience maintaining high quality work products in a fast-paced environment and within time constraints.


  • Strong writing and proofreading skills, oral communication skills, research, organizational and interpersonal skills.


  • A proven track record in preparing project schedules and monitoring deadlines and deliverables from various project parties.


Required Experience:

Four-year college degree and prior experience as a paralegal; paralegal certificate preferred. Significant relevant work experience may be substituted for a college degree. Proficiency with Microsoft Office applications, document management systems, and Kofax are required. Must be able to work overtime and travel to client and/or trial sites, as needed.
