Position Purpose: Provide legal support with an emphasis on corporate governance for our company and its related entities. Key responsibilities include overseeing corporate minute books, assisting with SEC reporting, and supporting various corporate legal matters.
Essential Duties and Responsibilities:
Create and maintain board/committee minute books and director/officer files
Manage key corporate governance documents and policies
Plan and prepare for annual shareholder meetings
Handle stockholder matters and equity documentation
Prepare and file select SEC documents and ensure compliance
Implement and maintain corporate compliance calendar
Maintain corporate records retention program
Support corporate compliance and policy training
Research and analyze corporate governance issues
Manage all aspects of legal holds
Maintain reporting on litigation and prelitigation matters
Report claims to insurance and manage communications
Qualifications:
Associate degree or equivalent required, BA preferred
Minimum 5+ years' experience as a paralegal specializing in corporate/SEC matters, preferably in retail/hospitality/restaurant industry
In-house paralegal experience highly desirable
Paralegal certificate from an accredited program required

Min Hiring Rate: $90,000.00
Max Hiring Rate: $120,000.00
